I. Confirmation and Acceptance of Services
1.Moulai Mall: It refers to the relevant websites and client applications (hereinafter referred to as the "Mall" or "Moulai Mall" or "this website") legally owned and operated by Nanjing Moulai Precision Measurement System Co., Ltd. (hereinafter referred to as "Moulai") and its affiliated parties.
2.This agreement is signed by Moulai Mall users (hereinafter referred to as "users" or "you"). When you confirm all the service terms and complete the registration process, this agreement is established and takes legal effect between you and this website, and you become an official user of this website. The services provided by Moulai Mall will be strictly implemented in accordance with the service terms and operation rules announced in this agreement.
3.According to changes in national laws, regulations, and the operational needs of Moulai Mall, Moulai Mall has the right to modify the terms of this agreement and related rules from time to time and actively prompt users to read them. Once it is published on Moulai Mall in any form, it will take effect and replace the previous relevant content. You are aware and confirm that if you do not agree with the updated content, you should immediately stop using Moulai Mall; if you continue to use Moulai Mall, it is deemed that you are aware of the changed content and agree to accept it.
4.Documents such as the Moulai Mall privacy policy, mall rules, and separate agreements are all components of this agreement, are inseparable from this agreement, and have the same legal effect. If you use the services of Moulai Mall, it is deemed that you agree to the components of this agreement.
5.For the terms prominently marked in bold in the content of this agreement, please pay special attention to reading them. When you click the "Agree" button or a button with a similar meaning, it is deemed that you fully accept this agreement. Before clicking, please confirm again that you are aware of and fully understand all the content of this agreement. When you confirm all the service terms and complete the registration process and authorize the login, this agreement is established and takes legal effect between you and Moulai Mall, and you officially become a user of Moulai Mall.
II. Service Instructions
Moulai Mall uses its self-developed operating system to provide users with services such as purchasing goods through the Internet. To use Moulai Mall, you must:
1.Equip yourself with the necessary devices for accessing the Internet, including personal mobile phones, tablets, modems, routers, etc.;
2.Bear the telephone fees, network fees, etc. related to this service paid for your personal Internet access;
3.Select the software version that matches the installed terminal device, including but not limited to the application versions of Moulai Mall released for iOS, Android, Windows, etc.
III. Moulai Mall Account
1.[User Qualification] You confirm that before you start the registration process to use the services of Moulai Mall, you should have the civil capacity appropriate to your behavior as stipulated by the laws of the People's Republic of China. If you do not have the aforementioned civil capacity appropriate to your behavior, you need to register and use this website under the supervision and participation of your guardian, and you and your guardian should bear all the consequences arising therefrom in accordance with the law.
2.[Account Registration] When you fill in the information according to the prompts on the registration page, read and agree to this agreement, and complete all the registration procedures after the information is verified to be correct, you can obtain a Moulai Mall account and become a user of Moulai Mall. When registering for a Moulai Mall account, you shall not violate the provisions of national laws and regulations. You shall not open an account in the name of others (including but not limited to misappropriating the name, title, mobile phone number of others or using other ways that may cause confusion), provide false information, etc. Otherwise, Moulai Mall has the right to refuse to open a mall account for you or take corresponding measures to restrict your use of the registered Moulai Mall account.
3.[Authentic Information] When using the services of Moulai Mall, you should accurately and completely provide your information (which may include your name, email address, contact number, contact address, etc.) according to the prompts on the relevant pages. You must ensure that your personal information is updated in a timely manner and guarantee the authenticity, accuracy, integrity, and legality of the information. Otherwise, you shall bear all the losses and adverse consequences caused to you, others, and Moulai Mall. Moulai Mall may send you inquiries or notices of rectification and has the right to suspend/terminate providing you with part or all of the services, and Moulai Mall shall not be liable for this.
4.[Account Use] You have the right to log in to Moulai Mall using the username, mobile phone number you set or confirmed and the password you set (the account name and password are collectively referred to as the "account"). When you log in and use it with the aforementioned existing account, the relevant provisions in this agreement also apply.
5.[Liability for Account Actions] Since your account is associated with your personal information and other information you use on Moulai Mall, your account is for your personal use only, and you shall be responsible for all the results of the actions under your account (including but not limited to online signing of various agreements, purchasing goods and services, publishing information, etc.). You shall not transfer or lend it in any way, otherwise, you shall bear all the responsibilities and consequences arising therefrom. If Moulai Mall determines that the use of your account may endanger the security of your account and/or the information security of Moulai Mall and/or infringe the legitimate rights and interests of others according to the agreements on breach of contract stipulated in this agreement and mandatory new regulations such as laws and regulations, Moulai Mall may refuse to provide corresponding services or terminate this agreement.
If you sign an agreement with Moulai Mall on behalf of your affiliated company, purchase goods and services, or the goods and services you purchase are used by your affiliated company and paid for by your affiliated company, you should obtain the consent or authorization of your affiliated company. If you do not obtain the consent or authorization of your affiliated company or provide false information, you shall bear all the losses and adverse consequences caused to your affiliated company, Moulai, or other third parties.
6.[Obligation for Account Security Custody] To ensure your legitimate rights and interests, you have the obligation to set and keep the security of the account you registered on Moulai Mall by yourself. Moulai Mall shall not be liable for the losses and consequences caused by your active disclosure of the account or due to actions such as attacks and fraud by others. You should recover from the infringers through judicial, administrative, and other relief channels. If you find other situations that may lead to the theft or loss of your account, it is recommended that you immediately notify Moulai Mall. You understand that it takes a reasonable amount of time for Moulai Mall to take action on any of your requests, and the actions taken by Moulai Mall may not be able to avoid or prevent the formation or expansion of the infringement consequences, but Moulai Mall will strive to protect your legitimate rights and interests. Except for the statutory fault of Moulai Mall, Moulai Mall shall not bear any liability.
7.[Account Cancellation] If you need to terminate the use of Moulai Mall services, you can apply for canceling your account. Special reminder: (1) You can only apply for canceling your own account; (2) You shall still be responsible for the actions during the period when you used the account services before canceling the account. When you apply for and agree to cancel the account, it is deemed that you give up the account information and the assets, virtual rights and interests, etc. of this account on Moulai Mall, and Moulai Mall cannot restore the aforementioned services for you; (3) You should comply with other regulations of Moulai Mall on account cancellation. Only on the basis of your acceptance and agreement can you complete the account cancellation process of Moulai Mall.
IV. Mall Services
1.[Purchase of Goods and/or Services] When you place an order, please carefully confirm important matters such as the seller of the goods you purchase, the name of the goods, the price, the quantity, the model, the specification, the size, or the time, content, and restrictive requirements of the services. And verify the contact address, telephone number, consignee, etc. when placing the order. If the consignee is different from you, the actions and expressions of the consignee are deemed to be your actions and expressions, and you shall bear joint and several liability for the legal consequences of the consignee's actions and expressions.
2.[Establishment of the Contract] You understand and agree that the information such as the goods and prices displayed by the sellers on Moulai Mall is only an invitation to offer. When you place an order, you must fill in the quantity of the goods you wish to purchase, the price, the payment method, the consignee, the contact information, the shipping address, the contract performance method, etc.; the order information generated by the system is data automatically generated by the computer information system according to the content you fill in, and it is only a contractual offer sent by you to Moulai; after Moulai receives your order information, only when the goods you ordered in the order are actually directly sent to you from the warehouse (marked by the goods leaving the warehouse), it is deemed that a contract relationship is established between you and Moulai for the goods actually directly sent to you; if you order multiple goods in one order and only part of the goods are sent to you, a contract relationship is only established between you and Moulai for the goods actually directly sent to you. Only when the other goods you ordered in the order are actually directly sent to you, a contract relationship is established between you and Moulai for those other goods.
3.[Activity Participation] Moulai Mall will regularly carry out various activities. Before participating in the activities, you should enter the corresponding activity page, carefully read and fully understand the activity rules. If you participate in the activities, it is deemed that you have fully read and understood the activity rules and voluntarily accept the constraints of the activity rules. During the process of reading the activity rules, if you do not understand or agree with any of the content, please stop participating in the relevant activities. You understand and agree that if your order or the activity you participate in violates the restrictive requirements, Moulai Mall has the right to take one or more handling measures such as canceling the order and canceling the activity qualification without assuming any liability.
4.[Payment Disclaimer] The payment channels of Moulai Mall are provided by third parties, and online payment is affected by many factors such as the network environment. After you place an order, Moulai Mall is not responsible for the security of the third-party payment environment. Your payment behavior is deemed to be your true behavior and expression of intention, and you shall not require the mall to bear responsibilities such as returning goods and refunding money on the grounds that it is not your operation; if you use a company account to pay, you should also obtain the consent and authorization of the company. When Moulai Mall independently discovers or you propose situations that may endanger transaction security and other circumstances, Moulai Mall may suspend, interrupt or terminate providing you with all or part of the services under this agreement without notice and without assuming any liability to you. Situations endangering transaction security include but are not limited to situations where the account is suspected of money laundering, cashing out, pyramid selling, being misappropriated, or other situations that Moulai Mall deems to be risky.
5.[Order Cancellation] Although Moulai Mall makes its best efforts, due to market changes and the influence of various factors that are difficult to control with reasonable business efforts, Moulai Mall cannot avoid situations such as out-of-stock goods and incorrect price indications in the order information you submit; if the goods you order have the above situations, you have the right to cancel the order, and Moulai Mall also has the right to cancel the order on its own. If you have already paid, a refund will be processed for you.
6.[Invalid Order] When you place an order through Moulai Mall, after Moulai Mall receives the order information, it has the right to reasonably determine whether your order is suspected of being untrue, dishonest, or an abuse of rights, non-personal consumption, etc. that violates the content of this agreement, taking into account factors such as inventory, transaction authenticity and rationality, and whether it damages the interests of other users, and the use of platform loopholes. If it is involved, you agree that your order will be deemed invalid, and Moulai Mall has the right to revoke the order, refuse to deliver the goods, or provide services (regardless of whether the order has been fulfilled).
V. Distribution and Delivery
1.[Delivery Time] The goods you purchase on Moulai Mall will be delivered according to the delivery address you specify on Moulai Mall. The delivery time listed in the order information is for reference only. The calculation of the reference time is estimated based on the inventory status, normal processing procedures and delivery time, and the delivery location, and it is not an accurate time commitment made to you. You should clearly and accurately fill in the delivery information such as the delivery address, contact person, and contact information. You should inspect the delivered goods before receipt. When you or the consignee or agent you specify signs on the delivery order or other vouchers, it is deemed that you have completed the receipt of the goods and approved the received goods. If due to errors in the information such as the consignee's name, consignee's phone number, and delivery address filled in by you, the goods are delivered to a consignee other than the one you intended, you shall bear all the losses caused thereby.
2.[Delivery Disclaimer] Moulai Mall shall not be liable for delayed delivery or inability to deliver, and reserves the right to unilaterally cancel the order in the following situations:
(1) You provide incorrect information and an unclear address;
(2) The goods are not signed for or are rejected upon delivery, and the costs and related consequences arising from repeated delivery caused thereby.
(3) Force majeure, such as the actions, decisions or orders of the government and judicial organs like the pandemic, natural disasters, severe weather, traffic control, accidental traffic accidents, strikes, changes in laws and regulations, terrorist incidents, violent crimes such as robbery and snatching, and sudden wars.
3.[Delivery Time] For the goods you purchase on Moulai Mall and delivered by a third-party distribution company, the receipt time recorded in the system or documents is the delivery time; for the goods you purchase and delivered by online transmission, the time of sending to the system you specify is the delivery time; for the services you purchase, the time stated in the generated electronic or physical vouchers is the delivery time.
VI. Protection and Authorization of User Personal Information
1.[Information Processing] You are aware and agree that in order to facilitate your use of the relevant services of Moulai Mall, Moulai Mall will process the necessary information during your use, including the consignee's name, the consignee's mobile phone number, and the delivery address. At the same time, the order number, the information of the goods or services you purchase, the order time, the payment amount you should pay, and the payment method will be stated in the order. Except for the situations stipulated by laws and regulations, Moulai Mall will not disclose your personal information to third parties irrelevant to the transaction without your permission. Moulai Mall will adopt professional encryption for the relevant information during storage and transmission, and use reasonable measures to ensure the security of user personal information.
2.[Information Processing] You fully understand and agree:
(1) To receive order information, promotional activities and other contents sent to users and consignees who log in and shop on Moulai Mall through forms such as emails, text messages, and phone calls; if you do not want to receive such information, you have the right to unsubscribe through the corresponding unsubscribe function provided by Moulai Mall.
(2) To cooperate with the work of administrative regulatory organs and judicial organs, within the scope permitted by law, Moulai Mall has the right to provide the relevant information stored during your use of Moulai Mall to the above administrative and judicial organs, including but not limited to your registration information, or use the relevant information for evidence preservation, including but not limited to notarization and witnessing.
(3) Moulai Mall will protect your right to know and the right to choose during your use in accordance with the law. For the services related to the functions of your device during your use of Moulai Mall, your consent will be obtained in advance.
(4) Moulai Mall has the right to retain your personal information within the period necessary to achieve the service purpose according to the actual situation, and allocate the maximum data storage space for it on the server.
3.[Privacy Protection] Moulai Mall respects and protects personal information. When you use the services of Moulai Mall, Moulai Mall will process your personal information in accordance with the privacy policy published on the platform. Moulai Mall hopes to introduce to you the way to maintain your personal information through the "Moulai Mall Privacy Policy". If you do not agree with any content in the privacy policy or do not agree to authorize Moulai Mall to process your information, you should immediately stop using the services of Moulai Mall.
VII. User Behavior Norms
1.You agree to strictly abide by the provisions of laws, regulations and rules, and abide by the following obligations according to law:
(1) You shall not create, transmit or publish the following illegal information materials: those that oppose the basic principles determined by the Constitution, incite resistance and disruption of the implementation of the Constitution, laws and regulations; those that endanger national security, disclose state secrets, subvert state power, undermine national unity, and incite the overthrow of the socialist system; those that damage national honor and interests; those that distort, smear, desecrate and deny the deeds and spirits of heroes and martyrs, and infringe upon the names, portraits, reputations and honors of heroes and martyrs; those that publicize or incite the implementation of terrorism, extremism and their activities; those that incite ethnic hatred, ethnic discrimination and undermine national unity; those that undermine national religious policies, publicize cults and feudal superstitions; those that spread rumors and disrupt the economic order and social order; those that spread pornographic, violent or criminal incitement information; those that insult or slander others and infringe upon the reputation, privacy and other legitimate rights and interests of others; other contents prohibited by laws and administrative regulations.
(2) You shall prevent and resist the creation, reproduction and publication of bad information materials containing the following contents: those with seriously exaggerated titles and contents that are seriously inconsistent with the titles; those with improper comments on natural disasters, major accidents and other disasters; those that incite group discrimination, regional discrimination, etc.; those that publicize vulgar, kitsch contents; those that violate social ethics; those that infringe upon the legitimate rights and interests of minors; other contents that have a negative impact on the network ecology.
2.This agreement is formulated in accordance with relevant national laws, regulations and rules, and you also agree to strictly abide by the following obligations:
(1) When transmitting information materials from the Chinese mainland to overseas, it must comply with relevant Chinese regulations;
(2) You shall not use Moulai Mall to engage in illegal and criminal activities such as money laundering, stealing trade secrets, and stealing personal information;
(3) You shall not interfere with the normal operation of Moulai Mall, and shall not invade the computer information system of Moulai Mall and the state;
(4) You shall not transmit or publish any illegal, harassing, slandering, abusive, intimidating, harmful, vulgar, uncivilized information materials;
(5) You shall not instigate others to engage in illegal or prohibited behaviors as stipulated in this agreement and the mall rules;
(6) You shall not use the account logged in to Moulai Mall for profit-making business activities;
(8) You shall not release any contents that violate the intellectual property rights such as personal information, copyright, trademark rights or other legitimate rights of others;
(9) You shall not have malicious software or program codes such as viruses, Trojan horses, and web crawlers that may damage, tamper with, delete or affect the normal operation of any system of Moulai Mall or obtain the data and personal information of Moulai Mall and other users without authorization;
(10) You shall not maliciously register Moulai Mall accounts, including but not limited to registering accounts frequently and in batches, and canceling accounts;
(10) You shall not release other contents that have a negative impact on the network ecology, and other contents prohibited by laws and administrative regulations.
3.You declare and guarantee that you have the corresponding legal rights to the information you release, which complies with relevant laws, regulations, national mandatory standards and the provisions of this agreement, and you are obliged to manage the information you release. You should immediately delete the information that violates laws, regulations and the provisions of this agreement. You shall bear legal responsibility for your online statements and behaviors. If you spread and disseminate reactionary, pornographic or other information that violates national laws on Moulai Mall, the system records of Moulai Mall may be used as evidence of your violation of the law. Moulai Mall may delete or block the information you release in accordance with the law or this agreement.
4.Unless permitted by law or with the written permission of Moulai Mall, you shall not engage in the following behaviors during your use of this website:
(1) Delete the copyright information on this website and its copies;
(2) Carry out reverse engineering, reverse assembly, reverse compilation of this website, or attempt to discover the source code of this website in other ways;
(3) Use, rent, lend, copy, modify, link, reprint, compile, publish, create mirror sites, etc. of the content with intellectual property rights owned by Moulai;
(4) Copy, modify, add to, delete, run in a hooked manner or create any derivative works of the data released into any terminal memory during the operation of this website, the interactive data between the client and the server during the operation of this website, and the system data necessary for the operation of this website, including but not limited to using plugins, add-ons or third-party tools/services not authorized by Moulai Mall to access this website and the relevant systems;
(5) Modify or forge the instructions and data during the operation of the website, add to, delete or change the functions or operation effects of the website, or operate or disseminate the software and methods for the above purposes to the public, regardless of whether these behaviors are for commercial purposes;
(6) Log in to or use this website and its services through third-party software, plugins, add-ons, systems that are not developed or authorized by Moulai Mall, or create, publish and disseminate the above tools;
(7) Interfere with this website and its components, modules, and data by yourself or authorize others or third-party software.
IX. Liability for Breach of Contract
1.If Moulai Mall discovers or receives reports and complaints from others that you violate the provisions of this agreement or engage in other illegal and 违规 behaviors, Moulai Mall has the right to delete or block the relevant contents at any time without notice, and impose penalties on the 违规 accounts according to the circumstances of the behaviors, including but not limited to warnings, restrictions or prohibitions on the use of some or all functions, account 封禁，etc., and announce the handling results.
2.Moulai Mall has the right to judge your behaviors based on reasonable judgment, and take appropriate legal actions against behaviors that violate relevant laws, regulations or the provisions of this agreement, and preserve relevant information and report to relevant departments in accordance with laws and regulations. You shall bear all the legal responsibilities arising therefrom.
3.You understand and agree that if you violate this agreement or the provisions of the relevant service terms, and Moulai and/or its affiliated companies suffer losses (including direct economic losses, reputation losses, and indirect economic losses such as compensation payments, settlement payments, lawyer's fees, and litigation fees), you shall compensate Moulai and/or its affiliated companies for all the above losses. If your behavior causes Moulai and/or its affiliated companies to be claimed by a third party, Moulai and/or its affiliated companies may recover all the losses from you after assuming obligations such as monetary payments to the third party.
4.Unless otherwise explicitly stated in writing, Moulai Mall makes no representation or warranty of any form, whether express or implied, regarding the operation of Moulai Mall and the information, contents, materials, products (including software) or services contained on Moulai Mall (except as otherwise provided by the laws of the People's Republic of China).
X. Termination of the Agreement
1.[Termination Initiated by the User] You have the right to terminate this agreement in any of the following ways:
(1) When the conditions for canceling the account on Moulai Mall are met, you cancel your account through the account cancellation process of Moulai Mall;
(2) You stop using and explicitly state that you do not accept the changed matters before the changed matters take effect;
(3) You explicitly state that you do not want to continue using the services of Moulai Mall, and meet the termination conditions of Moulai Mall.
2.[Termination Initiated by the Mall] Moulai Mall may notify you to terminate this agreement in the following situations in accordance with the provisions of this agreement:
(1) You violate the provisions of this agreement, and this agreement is terminated according to the breach of contract clauses;
(2) You steal others' accounts, release prohibited information, defraud others of property, disrupt the market order, and engage in profit-making activities by improper means, and Moulai Mall closes your account according to this agreement;
(3) In addition to the above situations, if you repeatedly violate the relevant provisions of this agreement and the circumstances are serious, Moulai Mall closes your account according to the rules;
(4) Other situations where the service should be terminated.
3.[Handling after the Termination of the Agreement] After the termination of this agreement, Moulai Mall still enjoys the following rights:
(1) Retain the relevant information that should be retained in accordance with the law;
(2) For your past breach of contract behaviors, Moulai Mall may still pursue your liability for breach of contract according to this agreement.
(3) After the termination of this agreement, for the transaction orders generated during the existence of this agreement, Moulai may notify the counterparty to the transaction and decide whether to close such transaction orders according to the wishes of the counterparty; if the counterparty requires continued performance, you shall continue to perform the provisions of this agreement and the transaction orders for such transaction orders, and bear any losses or additional fees arising therefrom.
XI. Ownership and Intellectual Property Rights
1.Once you accept this agreement, for any information contents in any form such as texts, comments, pictures, photos, videos, and audios that you provide, upload, create, and publish on Moulai Mall (including but not limited to customer evaluations, customer consultations, various topic articles, etc.), you gratuitously grant Moulai and Moulai Mall an irrevocable, global, exclusive license to use copyright (including but not limited to the rights of reproduction, distribution, rental, exhibition, performance, projection, broadcasting, information network communication, cinematography, adaptation, translation, compilation, and other licensable rights that should be enjoyed by the copyright owner), the right of portrait, the user ID name and other related legitimate rights and interests until the expiration of the protection period; you agree that Moulai and Moulai Mall have the right to store, use, copy, revise, edit, publish, display, translate, distribute, promote, publish, distribute, and communicate the above information through the information network, and have the right to adapt and create derivative works, and incorporate the above information into other works in the form known or developed in the future, through media or technologies. Regarding the rights and interests for which Moulai has the subject qualification for litigation, Moulai has the right to obtain evidence and file a lawsuit against the infringement acts of third parties in its own name.
2.Moulai has the right to sublicense all the rights in Paragraph 1 of Article XI to other third parties, and the right to obtain evidence and file a lawsuit against the infringement acts of third parties in its own name.
3.You should ensure that all types of information contents in Paragraph 1 of Article XI published on Moulai Mall do not involve infringement of the portraits, privacy, intellectual property rights or other legitimate rights and interests of third parties. Otherwise, Moulai has the right to take measures such as deletion and disconnection of links at any time.
4.This agreement constitutes a written agreement on the licensed use of the property rights of copyright and other rights as stipulated in Article 26 of the Copyright Law of the People's Republic of China (Revised in 2020) and relevant laws. Its validity extends to any works protected by the copyright law that you publish on Moulai Mall, regardless of whether such contents are formed before or after the conclusion of this agreement.
5.You agree and have fully understood the terms of this agreement, and promise not to publish or authorize other entities to use in any way the information published on Moulai Mall (including but not limited to use on various malls and media).
6.Except as otherwise provided by mandatory laws, without the explicit special written consent of Moulai, any unit or individual shall not illegally copy, reprint, quote, link, crawl or use the information contents of Moulai Mall in any other way. Otherwise, Moulai has the right to pursue its legal liability.
7.The information materials published on Moulai Mall (such as texts, charts, logos, button icons, images, sound file segments, digital downloads, data editing and software) are the property of Moulai or its content providers and are protected by Chinese and international copyright laws. The compilation of all contents on Moulai Mall is the exclusive property of Moulai and is protected by Chinese and international copyright laws. All software on Moulai Mall is the property of Moulai or its affiliated companies or its software suppliers and is protected by Chinese and international copyright laws.
XII. Notice and Service
1.[Valid Address] The contact phone number, email address, and contact address filled in your Moulai Mall account are regarded as your valid notice address. If the above information changes, you should update it in a timely manner. If due to inaccurate contact information provided by you or failure to inform the changed contact information in a timely manner, relevant notices (including but not limited to agreement changes, legal documents, etc.) cannot be served or are not served in a timely manner, you shall bear the possible legal consequences.
2.[Notice Service] Moulai Mall sends notices to you through the above contact methods. For written notices sent electronically, including but not limited to mall announcements, sending text messages to the contact phone number you provided, sending emails to the email address you provided, it is deemed served upon successful sending; for written notices sent in paper form, it is deemed served on the fifth natural day after being mailed to the contact address provided.
3.[Service of Legal Documents] For any disputes related to Moulai Mall, you agree that competent authorities such as administrative, public security, and judicial authorities may serve legal documents on you via means such as text messages, emails, system messages, or in-site messages. When a competent authority sends legal documents to the above contact methods, it shall be deemed that the legal documents have been served. If multiple above methods are used to serve legal documents on you simultaneously, the time of the earliest service shall prevail. You agree that the above service methods are applicable to the entire process of legal procedures such as administrative, arbitration, and judicial procedures.
XIII. Applicable Law and Other Matters
1.The formation, execution, interpretation, and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China. If any disputes arise between the parties regarding the content of this agreement or its execution, the parties shall make every effort to resolve them through friendly negotiation. If the negotiation fails, a lawsuit shall be filed with the people's court having jurisdiction over the place where this agreement is signed. This agreement is signed in Jiangning District, Nanjing City, Jiangsu Province.
2.If any provision of this agreement is deemed repealed, invalid, or unenforceable for any reason, such provision shall be deemed severable and shall not affect the validity and enforceability of any other provisions.
3.Other rights not explicitly authorized in this agreement shall be reserved by Moulai. When you exercise these rights, you must obtain the written permission of Moulai. Failure by Moulai to exercise any of the aforementioned rights shall not constitute a waiver of such rights.
